Acceptable Use Policy

This Data Processing Agreement ("DPA") forms part of the agreement between Neurax Technologies Inc. ("Neurax Host," "we," "our," or "Processor") and the customer ("Customer," "you," or "Controller") for the provision of web hosting, AI hosting, VPS hosting, GPU hosting, email hosting, domain-related services, and other related services.
This DPA sets out the responsibilities of each party regarding the processing of Personal Information in accordance with applicable privacy and data protection laws, including Canada's Personal Information Protection and Electronic Documents Act (PIPEDA) and, where applicable, the General Data Protection Regulation (GDPR) and other relevant privacy laws.
1. Purpose
The purpose of this Agreement is to establish the obligations of both parties regarding the processing, protection, confidentiality, and security of Personal Information processed through Neurax Host's services.
2. Definitions
For the purposes of this Agreement:
Controller means the customer who determines the purposes and means of processing Personal Information.
Processor means Neurax Host, which processes Personal Information on behalf of the Controller.
Personal Information means any information relating to an identified or identifiable individual.
Processing includes collecting, storing, organizing, using, transmitting, modifying, securing, deleting, or otherwise handling Personal Information.
3. Scope of Processing
Neurax Host processes Personal Information only as necessary to provide the services requested by the Customer.
Depending on the services used, Personal Information may include:
- Customer names
- Email addresses
- Phone numbers
- Company information
- Billing information
- IP addresses
- Server logs
- Website data
- Email data
- Support tickets
- Domain registration information
- Account credentials
4. Purpose of Processing
Personal Information may be processed solely for purposes including:
- Providing hosting and cloud services
- Maintaining customer accounts
- Website management
- Domain registration and transfers
- Technical support
- Billing and payment processing
- Security monitoring
- Fraud prevention
- System maintenance
- Backup and disaster recovery
- Compliance with legal obligations
Neurax Host will not process Personal Information for unrelated purposes without lawful authority.
5. Customer Responsibilities
The Customer agrees to:
- Ensure they have lawful authority to provide Personal Information.
- Obtain all required consents where applicable.
- Comply with applicable privacy laws.
- Provide accurate information.
- Maintain appropriate security within their own applications and websites.
- Notify Neurax Host of any unlawful processing requests.
The Customer remains responsible for determining the legal basis for processing Personal Information.
6. Neurax Host Responsibilities
Neurax Host agrees to:
- Process Personal Information only on documented instructions from the Customer unless otherwise required by law.
- Maintain appropriate administrative, technical, and physical safeguards.
- Restrict access to authorized personnel.
- Ensure employees and contractors are subject to confidentiality obligations.
- Assist the Customer with reasonable privacy-related requests where applicable.
- Maintain appropriate records relating to processing activities.
7. Security Measures
Neurax Host maintains commercially reasonable safeguards designed to protect Personal Information, including:
- SSL/TLS encryption
- Firewalls
- Intrusion detection and monitoring
- Malware protection
- Secure Canadian hosting infrastructure
- Access controls
- Authentication systems
- Regular software updates
- Network monitoring
- Security logging
- Backup procedures
Although we implement reasonable safeguards, no security system can guarantee absolute protection.
8. Confidentiality
All personnel authorized to process Personal Information are required to maintain the confidentiality of such information and may access it only where necessary to perform their duties.
9. Subprocessors
Neurax Host may engage trusted third-party service providers ("Subprocessors") to assist in providing services.
These may include:
- Cloud infrastructure providers
- Data center providers
- Payment processors
- Domain registrars
- Security service providers
- Customer support platforms
- Backup providers
Neurax Host remains responsible for ensuring that Subprocessors maintain appropriate data protection standards.
10. International Data Transfers
Although Neurax Host primarily operates Canadian infrastructure, certain Personal Information may be processed or stored by trusted service providers located in other jurisdictions where necessary to provide our services.
Where international transfers occur, reasonable safeguards will be implemented to protect Personal Information in accordance with applicable privacy laws.
11. Data Subject Requests
Where applicable, Neurax Host will provide reasonable assistance to the Customer in responding to requests relating to:
- Access to Personal Information
- Correction of inaccurate information
- Deletion requests
- Withdrawal of consent
- Data portability where required by law
- Privacy complaints
The Customer remains responsible for responding to individuals exercising their legal rights.
12. Personal Data Breaches
If Neurax Host becomes aware of a Personal Information breach affecting Customer data, we will:
- Investigate the incident promptly.
- Take reasonable steps to contain the breach.
- Restore affected systems where appropriate.
- Notify the Customer without unreasonable delay where required by applicable law.
- Cooperate in meeting legal notification obligations.
13. Data Retention and Deletion
Personal Information will be retained only for as long as necessary to:
- Deliver contracted services.
- Meet legal and regulatory obligations.
- Resolve disputes.
- Enforce agreements.
- Maintain legitimate business records.
Upon termination of services, Personal Information will be deleted, anonymized, or securely destroyed within a reasonable period unless retention is required by law.
14. Audits and Compliance
Upon reasonable written request, Neurax Host may provide information demonstrating compliance with this Agreement, provided such requests:
- Do not compromise the security of other customers.
- Do not disclose confidential infrastructure information.
- Are reasonable in scope and frequency.
15. Limitation of Liability
Nothing in this Agreement expands either party's liability beyond the limitations contained in the applicable Terms of Service.
16. Changes to this Agreement
Neurax Host may update this Data Processing Agreement to reflect changes in applicable laws, technology, or business operations.
Updated versions will be published with a revised Effective Date.
Continued use of our services after changes become effective constitutes acceptance of the updated Agreement.
17. Governing Law
This Agreement shall be governed by and interpreted in accordance with the laws of the Province of British Columbia and the applicable laws of Canada.
